What’s Going on With Washington Prime Group

The Dow seemed fairly unhappy yesterday for a decent stretch of time – down over 200 points – only to end just 0.25%, or 85.85 points, under its starting point.

The S&P 500, for its part, wasn’t as worrisome. And the Nasdaq stayed up with a series of dips and drives.

Today, everything’s looking mildly iffy as everyone waits for today’s data to be debuted. Basically, we’re waiting on retail sales and producer prices to get a better idea of how inflation is affecting the economy.

In our world though, that’s not the big story. The big story is real estate investment trust (REIT) specific since Washington Prime Group (WPG) bit the Chapter 11 bullet.

We already knew that going into the week, mind you. And we’ve been expecting it long before then. But details are now emerging, including the following that Seeking Alpha’s shared at 1:35 yesterday:

WPG’s “… Chapter 11 restructuring plan (RSA) includes reducing its debt by almost $950 [million] through converting its unsecured notes into equity and a $190 [million] paydown of the mall REIT’s revolving credit and term loan facilities.”
“The RSA plan contemplates raising $325 [million] through an equity rights offering, fully backstopped by SVPGlobal as plan sponsor, that will go to paying down secured debt.”
“The RSA also includes a four-year extension of the remaining credit facility debt and a baseline recovery for the company’s existing common and preferred equity holders of $40 [million] in cash or 6.125% of new equity (subject to dilution).”

No big surprise, the stock fell 30.17% on the news, and it’s down another 8.88% in pre-trading today at last look. I’m genuinely not even sure if the “meme-stock” world can save its share price at this point.

Not as-is.

The World According to REITs

If the Daily REITBeat were up and running today – which it isn’t since it’s still on a short sabbatical – we’d already know that Washington Prime Group would be on its unloved list. There would be no surprises there.

And, depending on how closely you follow it, you may or may not be surprised by this early-morning update:

WPG has agreed to sell the majority of its office portfolio to Brookfield Asset Management’s(BAM) private real estate fund for $766 million. The deal involves 12 properties in the Washington, D.C., area and should close next quarter. The company also intends to sell its eight retail assets at some point this year, putting the total proceeds toward buying up multifamily properties in the Southeast instead.

In other news…

Hannon Armstrong Sustainable Infrastructure Capital (HASI) made the headlines again, this time by upsizing its private offering to $1 billion of 3.375% senior unsecured notes due 2026 by its HAT Holdings I and II LLCs.
Sun Communities (SUI) got its inaugural rating from two top-notch agencies. S&P Global Ratings considers it a stable BBB, and Moody’s puts it at a stable Baa3.

That’s it for now! Except for this last little note…

If I haven’t been clear about Washington Prime up until this point, let me absolutely blunt. Avoid it. It’s not worth speculating even pennies on right now.
